Do not let book sealing slip to Esfand

Statutory books must be sealed before the fiscal year begins. If that slips, the tax administration treats that year's ledger as invalid and income is assessed on a deemed basis. It is one of the few mistakes with no way back afterwards.

For annual-contract clients we lodge the sealing request ourselves in Bahman, so nobody has to remember.

Choosing the legal form

  • Private joint stock for companies that expect to bring in investors or transfer shares.
  • Limited liability for small, stable partnerships, with a simpler registration process.
  • Non-commercial institution for professional and service activity without a trading character.
  • Branch or representative office registration for foreign companies.

Common questions

How long does company registration take?

Normally two to three weeks from complete documents to the incorporation notice. Name approval is usually the longest part.

We sealed the books but never filled them in. Is that a problem?

Yes. A sealed but empty or incomplete ledger is treated in an assessment much like having no ledger at all. If the fiscal year is still open it can usually be remedied.

Do we have to register a change of address?

Yes. The registered address is where tax notices are served. If it is out of date, an assessment notice is served at the old address and your objection window runs out without your knowing.
